Section 103
Transactions with other persons and jurisdiction of the company
: (1) Any transaction entered into by the company with other persons on the basis of anything mentioned in the articles of association of the company shall not be invalid or invalid merely because such transaction is without jurisdiction.
(2) It shall be the duty of every director and officer to carry out such business within the limits of the jurisdiction prescribed in the company's charter.
(3) Apart from the situation mentioned in sub-section (1), the work done by a director beyond the authority received by him can be approved by passing a special resolution by the general meeting of the business company.
(4) The director, officer or other person of the company shall not be deemed to be exempted from the liability under this Act for actions taken without jurisdiction, just because any action has been approved by a special resolution in accordance with sub-section (3).
